Iridium End-Use Certification
Iridium Satellite LLC (“Iridium”) requires our partners to comply with all applicable trade control laws and regulations with respect to any hardware, technology, or software (“items”) supplied by Iridium. These laws and regulations include export controls and sanctions imposed by the United States (“U.S.”), United Kingdom (“UK”) and European Union (“EU”), including the U.S. Export Administration Regulations (“EAR”), to which Iridium items are subject (collectively, the “Laws and Regulations”).
As a condition of placing this order, you (the Buyer) hereby certify to the following end-use conditions with respect to all items requested and received from Iridium in the order:
- Buyer will comply with all applicable Laws and Regulations with respect to the sale, supply, shipment, export, re-export, or other transfer of items received from Iridium. Buyer is not permitted to resell or otherwise distribute any Iridium items received from Iridium in the order to any third party. Buyer will not engage in any sanctionable conduct with Iridium items under applicable Laws and Regulations.
- Except where licensed by the appropriate government agency or otherwise authorized by applicable law, Buyer will not sell, supply, ship, export, re-export, divert or otherwise transfer Iridium items, directly or indirectly, to:
- Any embargoed or prohibited destinations (including Cuba, Iran, North Korea, Syria, and the Russia-occupied territories of Ukraine) or Russia or Belarus;
- Any denied or restricted party, including any party designated on any lists maintained by the U.S., UK, or EU (including entities owned or controlled by such persons); or
- For any prohibited end-uses, including rocket systems, unmanned aerial vehicles, missiles, military end-uses, military intelligence end-uses, and any other end-uses prohibited by Part 744 of the EAR or other applicable Laws and Regulations.
- Buyer will conduct appropriate due diligence, including restricted party screening, to verify whether any person or entity receiving or using Iridium items purchased in the order (including end-users) are subject to any of the restrictions described in Paragraph 2.
- Upon request, Buyer will provide information and assistance to Iridium in good faith regarding known end-users, end-uses and end destinations to ensure compliance with applicable Laws and Regulations and this certification.
- Buyer understands and agrees that Iridium may suspend the manufacture, sale, supply, and shipment of Iridium items to Buyer if Iridium has a reasonable basis to believe or suspect that such activity has a risk of contravening the Laws and Regulations, this Certification, or its compliance policy. Such suspensions do not discharge Buyer from its payment obligations owed to Iridium, and any such payment does not prejudice any other remedies to which Iridium may be entitled under applicable law.
- I confirm that the buyer will comply with the conditions of this End-Use Statement regarding trade control laws and regulations and will immediately notify Iridium in the event of any deviation from compliance with these terms. Buyer is aware that this certification also applies to any additional items added to the order by amendment.
